3. Payment & Billing
- Payment: Clients are charged upfront before any work begins.
- Refunds: No refunds are provided under any circumstances.
- Late Fees: Not applicable, as payment is collected prior to services.
4. Client Responsibilities
- Timely Submission of Documents
Clients agree to provide all necessary financial documents, receipts, and records by the 5th of each month. Delays may impact the completion of services. - Accuracy and Completeness
Clients are responsible for ensuring all information provided is accurate, complete, and up-to-date. Best Balance Bookkeeping, LLC is not responsible for errors arising from incomplete, inaccurate, or late information.
5. Service Limitations & Disclaimers
- Scope of Services
Services are limited to bookkeeping only. - No Tax Advice or Filing
Best Balance Bookkeeping, LLC is not a CPA or EA and does not provide tax preparation, tax filing, or tax advice. Consult a licensed tax professional for any tax matters. - Client-Caused Errors
Best Balance Bookkeeping, LLC is not responsible for errors, losses, or issues resulting from:- Inaccurate or incomplete client information
- Missing or late documents
- Client actions or omissions
6. Limitation of Liability
- Financial Liability
Liability is limited to the total amount paid by the client for the services in question. - No Indirect or Consequential Damages
Best Balance Bookkeeping, LLC is not liable for indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility.
7. Privacy
Client information is handled according to our Privacy Policy. By using our services, you acknowledge and agree to the Privacy Policy.
8. Communication Guidelines
- Accepted Methods: Email, phone, client portal (if applicable)
- Response Time: 1–2 business days, subject to workload and holidays
- Business Hours: Monday–Friday, 11:00 AM to 4:00 PM Pacific Time
- Text Messaging: Only for brief notifications; detailed discussions via email or portal
9. Intellectual Property
- Ownership of Materials
All templates, spreadsheets, tools, and resources remain the property of Best Balance Bookkeeping, LLC. - License to Client
Clients are granted a limited, non-exclusive, non-transferable license to use materials solely for their business. - Client Deliverables
Reports, reconciliations, and customized spreadsheets are provided under this license. Ownership of underlying templates remains with Best Balance Bookkeeping, LLC.
10. Termination of Services
- By Either Party: Services may be terminated at any time.
- Notice Requirement: Written notice via email or portal.
- Payments: No refunds for prepaid services.
- Return of Materials: Client documents will be returned or deleted per the Privacy Policy.
11. Governing Law & Dispute Resolution
- Governing Law: Oregon law, without regard to conflict of law principles.
- Dispute Resolution: Attempt informal resolution first.
- Legal Action: Any lawsuits must be filed in Oregon state or federal courts.
